As an alternative to paying GEP liquidated damages, Seller may, with the prior consent of Buyer, provide Replacement Product in an amount not to exceed [ ]% of the Expected Energy for the previous Contract Year.
If Buyer terminates this Agreement under Article 6, then any Deficient Product for which Replacement Product was Delivered or payment made to Buyer in accordance with this Section 3.9 shall not be included in the calculation Buyer’s Loss for purposes of Section 6.5.
