Prior Options definition

Prior Options means Options granted pursuant to the Prior Scheme;
Prior Options has the meaning set forth in Section 11(b) below.
Prior Options means those options held by Participants prior to the closing of the transactions contemplated by the Merger Agreement that were replaced by the Rollover Options.

More Definitions of Prior Options

Prior Options means, collectively, Prior Vested Options and Prior Unvested Options.
Prior Options. As a condition of the grant of Annual Performance Vested Options and Cumulative Performance Vested Options under this Option Agreement, Holder and Company hereby acknowledge and agree that, as of the Effective Date, (i) all Prior Unvested Options granted to Holder, if any, shall be deemed cancelled, and of no further force or effect; and (ii) all Prior Vested Options previously granted to Holder, if any, shall no longer be subject to the terms and conditions of the Company’s 2004 Stock Option Plan or, except as provided in the next sentence, the option agreement entered into in connection therewith, and shall instead be deemed “Options” for all purposes under the Plan and under this Option Agreement and be subject to the terms and conditions contained in each. This paragraph shall have no effect as to the number of shares of Stock subject to, and the exercise price and Expiration Date applicable to, any Prior Vested Option granted to Holder, subject to any subsequent adjustment applicable to all Options as permitted under the Plan.
Prior Options means PNC stock options granted prior to January 1, 2001 or, in the case of reload stock options, that were or will be granted in connection with the exercise of original stock options issued prior to that date.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • SARS means the South African Revenue Service.

  • Director Option means an Option granted pursuant to Section 6.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Employee Option means an Option granted pursuant to Section 5.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Compensation Options means the options of the Company to be issued to the Agent pursuant to Section 8.2 hereof to acquire Compensation Shares;

  • Stock Appreciation Rights Agreement means a written agreement between the Company and a Holder with respect to an Award of Stock Appreciation Rights.

  • Stock Appreciation Right Agreement means a written agreement between the Company and a holder of a Stock Appreciation Right evidencing the terms and conditions of a Stock Appreciation Right grant. Each Stock Appreciation Right Agreement will be subject to the terms and conditions of the Plan.

  • Company Equity Awards means the Company Options and the Company RSUs.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).
