Post-Employment Annual Bonus means the Annual Bonus to which Executive would have otherwise been entitled if his employment had continued through the end of the bonus year based upon the actual performance of the Company, prorated for the period of actual employment during the bonus year, and paid upon the payment of the annual bonuses to senior executives of the Company pursuant to the Company’s annual bonus programs.

  • In the event of any such termination, Executive shall be entitled to (i) his Base Compensation through the termination date, (ii) the Post-Employment Annual Bonus, if any (iii) all accrued benefits to the date of termination (and to the extent required by law), (iv) the Severance Payment, (v) the Longevity Payment, (vi) the costs of continuing health and life insurance coverage for six (6) months following termination of employment and (vii) Accelerated Vesting upon termination of employment.

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Target Annual Bonus has the meaning set forth in Subsection 3b.

  • Bonus means the bonus described in the Section 2.3.

  • Employment Year means each twelve-month period, or part thereof, during which Employee is employed hereunder, commencing on the Commencement Date and on the same day of the subsequent calendar year and each consecutive 12 month period thereafter.

  • Accrued Bonus means the bonus, which may be negative or positive, which is calculated in the manner set forth in Section V.A.

  • Severance Compensation means the compensation set forth in (i), (ii), and (iv) above.

  • Severance Pay means any amount that is payable in cash and is identified by a Participating Company as severance pay, or any amount which is payable on account of periods beginning after the last date on which an employee (or former employee) is required to report for work for a Participating Company.

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.

  • Eligible Executive means an employee of the Company selected as being eligible to participate in this Plan under Section C.1.a.

  • Accrued Compensation means an amount which shall include all amounts earned or accrued through the "Termination Date" (as hereinafter defined) but not paid as of the Termination Date, including (i) base salary, (ii) reimbursement for reasonable and necessary expenses incurred by the Executive on behalf of the Company during the period ending on the Termination Date, (iii) vacation pay and (iv) bonuses and incentive compensation (other than the "Pro Rata Bonus" (as hereinafter defined)).

  • Period of Employment shall include any extension thereof pursuant to the preceding sentence. Provision of notice that the Period of Employment shall not be extended or further extended, as the case may be, shall not constitute a breach of this Agreement and shall not constitute “Good Reason” for purposes of this Agreement. Notwithstanding the foregoing, the Period of Employment is subject to earlier termination as provided below in this Agreement.
