Performance Share Amount means, for any grant of Performance Shares, the amount that would have been distributed to the Participant, but for an election to defer such amount under the Plan.

Performance Share Amount means, for any grant of Performance Shares, an amount equal to the value of Stock which would have been distributed to the Participant upon vesting of such Performance Shares, calculated using the average of the reported high and low prices for the Stock as of the day such Performance Shares would otherwise vest (if a business day) or as of the next following business day. Effective for Performance Shares deferred on or after November 2, 2005, such value shall be calculated using the closing price for the Stock as of the day such Performance Shares would otherwise vest (if a business day) or as of the next following business day.
