Parent Loan Documents definition

Parent Loan Documents has the meaning ascribed to the termLoan Documents” in the Parent Credit Agreement.
Parent Loan Documents means the Parent Credit Agreement, the “Guarantee Contracts” and “Pledge Contracts” (each, as defined in the Parent Credit Agreement), any other document designated as such by the parties to the Parent Credit Agreement in writing, and all other documents, instruments and agreements entered into connection with the foregoing, each as amended, restated or otherwise modified from time to time.

  • In the event all obligations (other than contingent obligations) under the Parent Loan Documents have been Repaid in full, Issuer shall, at the option of the Holders, redeem the Notes in whole or in part (in an amount not less than $1,000,000 and in integral multiples of $1,000,000) pursuant to and in accordance with the procedures set forth below.

  • The Holders may require redemption pursuant to this Section 9.2 by notice to Issuer (each such notice, a “Repayment Redemption Notice”) at any time after the date of Repayment in full of all obligations (other than contingent obligations) under the Parent Loan Documents.

Parent Loan Documents means the (i) Third Amended and Restated Revolving Credit Agreement dated as of November 1, 1999 among SIHL, Sun International Bahamas Limited, RIH and Sun International Nevada, Inc., the lenders named therein and The Bank of Nova Scotia, Societe Generale, Bankers Trust Company, CIBC, The Royal Bank of Scotland PLC and Xxxxx Fargo Bank, National Association, as amended from time to time, (ii) the Indenture dated as of March 10, 1997, among SIHL, Parent, as Issuers and the Guarantors Named therein and The Bank of New York, as Trustee, and (iii) the Indenture dated as of December 10, 1997, among SIHL, Parent, as Issuers and the Guarantors Named therein and The Bank of New York, as Trustee.

Related to Parent Loan Documents

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • Second Lien Loan Documents means the “Loan Documents” as defined in the Second Lien Credit Agreement.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.

  • Mortgage Loan Documents means, with respect to the Mortgage Loan, the Mortgage Loan Agreement, the Mortgage, the Notes and all other documents now or hereafter evidencing and securing the Mortgage Loan.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Prepetition Loan Documents means the “Loan Documents” as defined in the Prepetition Credit Agreement.

  • Subordinate Loan Documents means the Subordinate Note, the Subordinate Mortgage, and all other documents at any time evidencing, securing, guaranteeing, or otherwise delivered in connection with the Subordinate Indebtedness.

  • Cooperative Loan Documents As to any Cooperative Loan, (i) the Cooperative Shares, together with a stock power in blank; (ii) the original executed Security Agreement and the assignment of the Security Agreement endorsed in blank; (iii) the original executed Proprietary Lease and the assignment of the Proprietary Lease endorsed in blank; (iv) the original executed Recognition Agreement and the assignment of the Recognition Agreement (or a blanket assignment of all Recognition Agreements) endorsed in blank; (v) the executed UCC-1 financing statement with evidence of recording thereon, which has been filed in all places required to perfect the security interest in the Cooperative Shares and the Proprietary Lease; and (vi) executed UCC-3 financing statements (or copies thereof) or other appropriate UCC financing statements required by state law, evidencing a complete and unbroken line from the mortgagee to the Trustee with evidence of recording thereon (or in a form suitable for recordation).

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced (whether or not upon termination, and whether with the original lenders or otherwise), restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.
