Other Permitted Transferee definition

Other Permitted Transferee means (A) any person related by lineal or collateral consanguinity to Purchaser or to the spouse of Purchaser; (B) the spouse of Purchaser or of any person described in clause (A); and (C) all persons related to those persons described in clause (A) or clause (B) by lineal or collateral consanguinity. For purposes of this definition of "Other Permitted Transferee," (x) adopted persons shall be considered the natural born child of their adoptive parents; (y) lineal consanguinity is that relationship that exists between persons of whom one is descended (or ascended) in a direct line from the other, as between son, father, grandfather, great-grandfather; and (z) collateral consanguinity is that relationship that exists between persons who have the same ancestors, but who do not descend (or ascend) from the other, as between uncle and nephew, or cousin and cousin.
Other Permitted Transferee means in the case of any Other Party, (i) any corporation, partnership, trust or other entity which is controlled by the applicable Other Party, (ii) upon the death of an Other Party, such Other Party’s heirs, executors, administrators, testamentary trustees, legatees or beneficiaries (collectively, “Associates”), and (iii) a voting trustee for one or more of the respective subsidiaries or Associates under the terms of a voting trust, provided, that at such time as such Other Party no longer satisfies the definition of Other Permitted Transferee, then any Transfer to such Other Party Transferee shall be treated as a Prohibited Transfer. In the event that any such Other Permitted Transferee shall cease to qualify as an Other Permitted Transferee after such Transfer, such Transferring Other Party shall cause such Other Permitted Transferee to transfer to such Other Party or another Other Permitted Transferee of such Other Party all Common Stock owned by such Other Permitted Transferee immediately prior to the time such Other Permitted Transferee would cease to be an Other Permitted Transferee of such Other Party.

Examples of Other Permitted Transferee in a sentence

  • In the event there is no Spouse or Significant Other, or Other Permitted Transferee who wants to continue the membership privileges or who is approved for membership, as applicable, the Certificate Membership will be deemed to have been resigned and shall be placed on the Redemption List to become eligible for redemption in accordance with the redemption provision below.

  • If there is no Spouse or Significant Other, or the Spouse or Significant Other does not desire to continue the membership privileges, or the Spouse or Significant Other is not approved, the Certificate Membership can be transferred to an Other Permitted Transferee who is approved for membership and(which approval shall not be unreasonably withheld) and executes a Membership Admission Agreement.

  • The Other Permitted Transferee will then acquire the membership from the Club upon payment of the transfer fee and the amount referred to in the previous sentence.

  • No additional Membership Deposit or a transfer fee need be paid for the transfer of the Certificate Membership to the Spouse or Significant Other, or with respect to the first transfer to an Other Permitted Transferee.

Other Permitted Transferee means a parent, adult child or adult grandchild of the Certificate Member, Spouse or Significant Other, or an adult sibling of the Certificate Member. If the Certificate Member acquired the Certificate Membership as a Significant Other, an Other Permitted Transferee shall also include those individuals who qualified as Other Permitted Transferees of the Certificate Member whose Certificate Membership was transferred to such Significant Other. Spouses and Significant Others shall not be considered Other Permitted Transferees.
