The Private Placement Warrants held by CCM or its Permitted Transferees and the Ordinary Shares that are issuable upon exercise of such Private Placement Warrants have been deemed compensation by the FINRA and are therefore subject to a 180-day lock-up pursuant to FINRA Rule 5110(e)(1), commencing on the effective date of the Registration Statement.

For the avoidance of doubt, the Company agrees that the redemption rights provided in Section 6.1 shall not apply to the Private Placement Warrants or the Working Capital Warrants if at the time of the redemption such Private Placement Warrants or the Working Capital Warrants continue to be held by the Sponsor, the Representative, the initial lender, as applicable, or their respective Permitted Transferees .
Subject to Section 4.03(e), each of the Shareholders shall be entitled to subscribe for (or to cause its Permitted Transferees to subscribe for) up to its respective Shareholder Percentage of the Equity Securities proposed to be issued, at the price and on the terms specified in the Issuance Notice.
