Offering Document definition
Offering Document means the prospectus or other document (issued by the Management Company with written consent of the Trustee and approved by the Commission) which contains the investments and distribution policy, unit structure(s) and all other information in respect of the Unit Trust, as required by the Rules and Regulations and is circulated to invite offers by the public to invest in the Scheme.
Offering Document means, with respect to any class or series of Shares, the prospectus, offering circular, offering memorandum, private placement memorandum or other offering document related to the initial offering of such Shares, approved by the Manager, including any Offering Statement.

Each Underwriter severally and not jointly covenants and agrees that it has not and will not distribute any Other Offering Document unless (i) it has notified the Companies of its intention to distribute such Other Offering Document prior to its distribution thereof and (ii) it provides the Companies with a copy of such Other Offering Document in an electronic format prior to or simultaneously with its initial distribution of such Other Offering Document.
If any changes are required to the Offering Documents at any time after the Closing Date, the Company may amend the Offering Documents in accordance with the respective provisions of the particular Offering Document.

Offering Document. The Prospectus or the Memorandum, as applicable.
Offering Document means the Prospectus and any other material or documents delivered by the Underwriters to any Person in connection with the offer or sale of the Securities.
