NBCU Option I definition

NBCU Option I means the Call Agreement between CIG and NBC Palm Beach II, in the form attached hereto as Exhibit C, pursuant to which CIG grants NBC Palm Beach II an irrevocable right to purchase the Call Shares upon the terms and conditions set forth therein.
NBCU Option I means the option granted to NBC Palm Beach Investment II, Inc. to purchase all of the Call Shares from CIG Media pursuant to the Option I Call Agreement.
NBCU Option I. As set forth in section C(2)(a) above, Newco will grant NBCU an option (the "NBCU Option I") to purchase the shares of Class A Common Stock and Class B Common Stock owned by Newco (and formerly owned by the Call Shareholders), as described on Schedule H. The Definitive Transaction Documentation shall contain provisions that prohibit (i) the transfer by CLP of the shares of Class A Common Stock and Class B Common Stock underlying the NBCU Option I, (ii) the issuance by the Company of any share of Class B Common Stock other than pursuant to the exercise of the NBCU Option II (as defined below) or (iii) the entry into any agreement or arrangement by CLP or the Company with respect to a change of control or other extraordinary corporate transaction of the Company, in each case, prior to the earlier of the business day following (A) the six (6) month anniversary of the Call Closing or (B) the Delisting Date.

Related to NBCU Option I

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Share Option Plan means any equity incentive plan of the General Partner, the General Partner Entity, the Partnership and/or any Affiliate of the Partnership.

  • Stock Option Plan means any stock option plan now or hereafter adopted by the Company or by the Corporation, including the Corporate Incentive Award Plan.

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • Company Stock Option Plan means each stock option plan, stock award plan, stock appreciation right plan, phantom stock plan, stock option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any stock, option, warrant or other right to purchase or acquire capital stock of the Company or right to payment based on the value of Company capital stock has been granted or otherwise issued.

  • Director Option means an Option granted pursuant to Section 6.

  • Stock Option Agreement means the agreement between the Company and an Optionee that contains the terms, conditions and restrictions pertaining to the Optionee’s Option.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).
