Material IT Contracts means the contracts relating to the Claims Processing Systems and any other IT Contracts to which a Target Company is party where the aggregate expenditure of the Target Companies exceeds or is likely to exceed £50,000 in any 12 month period;

Material IT Contracts means any written or oral lease, license, contract, agreement or obligation to which any Grantor is a party or by which any Grantor or any of its properties may be bound and that are material to the business, financial position or results of operations of any Grantor relating to information technology (including, without limitation, the design, development, installation, and implementation of information systems and applications); imbedded and stand-alone computer programs, software and software licensing rights; recorded data and all other related materials including, without limitation, those agreements described in Schedule 1(b) annexed hereto and made a part hereof.

Related to Material IT Contracts

  • Material Agreements shall have the meaning assigned to such term in Section 4.16 hereof.

  • IT Contracts means all material agreements or arrangements (whether or not in writing and including those currently being negotiated) under which any third party (including, without limitation, any source code deposit agent) provides or will provide any element of, or services relating to, the IT Systems, including leasing, hire purchase, licensing, maintenance, website hosting, outsourcing, security, back-up, disaster recovery, insurance, cloud computing and other types of services agreements.
