Associated Party means, if used to indicate a relationship with a person or company

Associated Party means a party which is an ‘associate’ of the relevant Guarantor, Chargor, Purchaser or employer as the case may be, within the meaning of section 435 of the Insolvency Act 1986 except that where the relevant Guarantor, Chargor, Purchaser or employer is an Employer's Associate by virtue of paragraph 4(7)(b) above, the definition of ‘Associated Party’ is to be applied as if the relevant Guarantor, Chargor, Purchaser or employer was the Scheme Employer with whom the necessary pre-existing relationship is said to exist (or each such Scheme Employer as the case may be).

Associated Party means, with respect to any specified Person, to the extent applicable, such Person’s (i) predecessors, successors, executors, administrators, trusts, spouse, heirs and estate, (ii) past, present and future assigns, agents and representatives, (iii) each entity that such Person has the power to bind (by such Person’s acts or signature) or over which such Person directly or indirectly exercises control and (iv) each entity of which such Person owns, directly or indirectly, a majority of the outstanding equity, beneficial, proprietary, ownership or voting interests.

Examples of Associated Party in a sentence

• Act in a professional capacity (or be a member of a firm that so acts) other than as auditor of an Associated Party.

• Hold any office or place of profit (other than auditor) in an Associated Party.

• The legal opinion must address whether schedule 1 in each of the Board’s standard form agreements lists every undertaking which is both an Associated Party of any guarantor and an “employer” in relation to the relevant scheme within the meaning set out in section 318 of the Pensions Act 2004 and regulations made thereunder.

• Be a member, creditor or otherwise be interested in (other than an auditor) of an Associated Party.

• In addition, in issuing this document, no Ravenscroft Associated Party undertakes any obligation to up-date or to correct any inaccuracies which may become apparent in it.
