Jet Fuel Inventory Supply Agreement definition

Jet Fuel Inventory Supply Agreement means the Jet Fuel Inventory Supply Agreement among the Borrower, the Jet Fuel Counterparty and Epsilon Trading, Inc., dated as of August 31, 2006, as amended, renewed or replaced from time to time.
Jet Fuel Inventory Supply Agreement means the Jet Fuel Inventory Supply Agreement among the Borrower, the Jet Fuel Counterparty and Epsilon Trading, Inc., dated as of August 31, 2006, as amended, renewed or replaced from time to time. “Joint Bookrunners” shall mean GSCP, Xxxxxxx Xxxxx and Barclays Capital, in their capacities as joint bookrunners. “Joint Lead Arrangers” shall mean GSCP and Xxxxxxx Xxxxx, in their capacities as co-lead arrangers. “JPMCB” shall mean JPMorgan Chase Bank, N.A. “JPMSI” shall mean X.X. Xxxxxx Securities Inc. “LBI” shall mean Xxxxxx Brothers Inc. “LCPI” shall mean Xxxxxx Commercial Paper Inc. “Lenders” shall have the meaning set forth in the first paragraph of this Agreement. “LIBO Rate” shall mean, with respect to each day during each Interest Period pertaining to a Eurodollar Loan, the rate per annum appearing on Reuters Screen LIBOR01 Page (or on any successor or substitute page of such service, or any successor to or substitute for such service, providing rate quotations comparable to those currently provided on such page of such service, as determined by the Administrative Agent from time to time for purposes of providing quotations of interest rates applicable to dollar deposits in the London interbank market) at approximately 11:00 a.m., London time, two Business Days prior to the commencement of such Interest Period, as the rate for dollar deposits with a maturity comparable to such Interest Period. In the event that such rate is not available at such time for any reason, then the “LIBO Rate” with respect to such Eurodollar Borrowing for such Interest Period shall be the rate at which dollar deposits of $5,000,000 and for a maturity comparable to such Interest Period are offered by the principal London office of the Administrative Agent in immediately available funds in the London interbank market at approximately 11:00 a.m., London time, two Business Days prior to the commencement of such Interest Period.
Jet Fuel Inventory Supply Agreement means the Jet Fuel Inventory Supply Agreement among Borrower, J. Xxxx and Epsilon Trading, Inc., substantially in the form provided to the Administrative Agent prior to the Amendment No. 1 Effective Date with such modifications or amendments as the Administrative Agent may approve from time to time in its discretion, such approval not to be unreasonably withheld or delayed, pursuant to which J. Xxxx will purchase, assume and/or otherwise transfer the Jet Fuel Assets and supply jet fuel for Borrower's operations in Atlanta, Cincinnati and New York.

  • Self Supply LSE means a Load Serving Entity in one or more Mitigated Capacity Zones that operates under a long-standing business model to meet more than fifty percent of its Load obligations through its own generation and that is (i) a municipally owned electric system that was created by an act of one or more local governments pursuant to the laws of the State of New York to own or control distribution facilities and/or provide electric service, (ii) a cooperatively owned electric system that was created by an act of one or more local governments pursuant to the laws of State of New York or otherwise created pursuant to the Rural Electric Cooperative Law of New York to own or control distribution facilities and/or provide electric service, (iii) a “Single Customer Entity,” or (iv) a “Vertically Integrated Utility.” A Self Supply LSE cannot be an entity that is a public authority or corporate municipal instrumentality created by the State of New York (including a subsidiary of such an authority or instrumentality) that owns or operates generation or transmission and that is authorized to produce, transmit or distribute electricity for the benefit of the public unless it meets the criteria provided in section (i), (ii), or (iii) of this definition. For purposes of this definition only: “Vertically Integrated Utility” means a utility that owns generation, includes such generation in a non-bypassable charge in its regulated rates, earns a regulated return on its investment in such generation, and that as of the date of its request for a Self Supply Exemption, has not divested more than seventy-five percent of its generation assets owned on May 20, 1996; and “Single Customer Entity” means an LSE that serves at retail only customers that are under common control with such LSE, where such control means holding 51% or more of the voting securities or voting interests of the LSE and all its retail customers.
