Investment Period Termination Date definition

Investment Period Termination Date means the earliest of the date on which (i) the Payment Date occurring in June 2023 or such later date as may be agreed to by the Noteholders and the Issuer, (ii) the aggregate Outstanding Loan Balances of all Defaulted Loans (in each case, measured at the time each such Loan becomes a Defaulted Loan) exceeds an amount equal to 13.5% of the aggregate Initial Outstanding Loan Balances of all Loans owned by the Issuer since the Amendment Closing Date, (iii) a Rapid Amortization Event has occurred, (iv) a Key Person Event has occurred or (v) the merger, conversion or consolidation of the Servicer pursuant to Section 5.12. (i) The Payment Date occurring in June 2023 or such later date as may be agreed to by the Noteholders and the Issuer
Investment Period Termination Date means the date when the Investment Period will expire or terminate in accordance with the terms of the applicable Borrower’s Operative Documents.
