This Agreement shall terminate on the Standstill Termination Date.
Prior to the Standstill Termination Date, no LIH Entity, nor any Affiliate or Associate thereof which acquires Voting Securities in accordance with the terms of this Agreement, will Transfer Beneficial Ownership of any Voting Securities to any of their respective Affiliates or Associates unless each such Person becomes a signatory to this Agreement and a party hereunder.
This Agreement shall terminate on the Standstill Termination Date, except that in any such case the provisions of this Section 2 shall survive any termination of this Agreement and except that no party to this Agreement shall be relieved or released from liability for damages arising out of a breach of this Agreement before such termination.
