Any terms of this Agreement which by their nature survive the expiration or termination of this Agreement, including Limitation of Liability, Intellectual Property Infringement Protection and Indemnification, shall survive any such expiration or termination.
Sections 1 (Definitions), 3A (Additional Terms), 4 (Service Fee), 5A (Monitoring and Restrictions), 8 (Intellectual Property Rights), 9 (Confidentiality), 10.4 (No Other Warranties), 11 (Intellectual Property Infringement), 12 (Limitation of Liability), 13 (Termination), 14 (Assignment), 15 (General), 16 (Notices) and 17 (Cloud Service Privacy Policy) hereof shall survive any termination of this Agreement.
The Parties' rights and obligations which, by their nature, would continue beyond the termination, cancellation, rejection, or expiration of this Agreement shall survive such termination, cancellation, rejection, or expiration, including, but not limited to, the rights and obligations created by the following clauses: Intellectual Property Infringement, Limitation of Recovery, Audit, Bankruptcy, and General.
This Agreement is for the sole benefit of the Parties and their respective successors and permitted assigns, and nothing herein, express or implied, except as expressly provided in Section 23 (Indemnification), Section 24 (Intellectual Property Infringement) and Section 29 (Insurance) of these Terms and Conditions, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
Except as provided in Paragraph 5 (Intellectual Property Infringement), Paragraph 7.1 (Right to Audit; Misuse of Data), and Paragraph 14.22 (Privacy), Licensor’s liability for damages, if any, for any cause whatsoever, and regardless of the form of action, shall in no event exceed an amount equal to twice the cumulative fees paid or payable by Licensee to license the Software.
