Background Intellectual Property Rights definition

Background Intellectual Property Rights means any Intellectual Property Rights, other than Foreground Intellectual Property Rights, that are used in the course of or in connection with the provision of the Services;
Background Intellectual Property Rights means the Intellectual Property Rights in Background Intellectual Property.
Background Intellectual Property Rights means any Intellectual Property Rights of either Buyer or Seller relating to the goods or services contracted (A) existing prior to the effective date of this contract or prior to the date Buyer and Seller began any technical cooperation relating to the goods or services contracted, whichever is earlier, or (B) that each party acquires or develops after these dates but in a strictly independent manner and entirely outside of any work conducted under this contract.

More Definitions of Background Intellectual Property Rights

Background Intellectual Property Rights means, with respect of each Party, the Intellectual Property Rights, excluding Foreground Intellectual Property owned by, used by, or otherwise in the possession or control of that Party, as of the date of this Agreement and which relates to, is or will be used in connection with or on THE PROGRAM.
Background Intellectual Property Rights means Intellectual Property Rights owned, controlled or furnished by either Party other than Foreground Intellectual Property Rights.
Background Intellectual Property Rights or “Background IPRs” means any Intellectual Property Rights needed in order for the Enterprise Fellow to exploit the Foreground Intellectual Property Rights.
Background Intellectual Property Rights means Intellectual Property Rights, if any, owned by Seller that are (a) embodied in Background Technology, and (b) not Developed Intellectual Property Rights; provided, however, that a Patent will be a Background Intellectual Property Right only if Seller has the right to grant to Company a license of the scope set forth in Section 1.8(b) under such Patent without incurring any obligation to pay any royalty or other consideration to any third party.
Background Intellectual Property Rights means any and all intellectual property rights which are: (a) owned by or licensed to the Supplier (or an approved Subcontractor) prior to the commencement date of the Contract; or (b) created as a result of independent activities by Supplier (or an approved Subcontractor) outside the scope of the Contract.
