Gerber. Gerber Products Company, a business unit of the Seller that is engaged primarily in the research and development, manufacturing, marketing, distribution and sales of products in the infant and toddler nutrition and development business. "Governmental Authority" Any federal, national, state, local, cantonal, municipal, international or multinational government, governmental, regulatory or administrative authority, agency or commission, or any court, tribunal, or judicial or arbitral body of competent jurisdiction. "Governmental Permits" Any permit, approval, license or other authorization required by a Governmental Authority under or issued by a Governmental Authority pursuant to any applicable Legal Requirement, with the exception of Environmental Laws. "Indemnified Party" As defined in Section 6.5(a). "Indemnifying Party" As defined in Section 6.5(a). "Independent Accountants" Ernst & Young LLP or such other internationally recognized accounting firm as agreed by both the Seller and the Buyer. "Initial Closing Statement" As defined in Section 2.3(d).
