Frost shall have the meaning set forth in the fourth Recital.
Frost. “Lender” and “Lenders”, shall have the meanings indicated above. When used herein the following terms shall have the following meanings: Accounting Principles means generally accepted accounting principles in effect from time to time, applied in a manner consistent with prior periods.

Without limiting the generality of the foregoing, the Fund agrees that, upon any termination of this Agreement, the Fund will, at the request of the Adviser, use its best efforts to change the name of the Fund within three months of its receipt of the Adviser's request so as to eliminate all reference, if any, to the name "Frost" and will not thereafter transact any business using the name "Frost" in the name of the Fund; provided, however, that the Fund and the Sub-Adviser may continue to use beyond such date any supplies of prospectuses, marketing materials and similar documents that the Sub-Adviser or its affiliates had on had at the date of such name change.

At the request of the Adviser, the Trust will (a) submit to Adviser representative samples of any promotional materials using the Name; and (b) change the name of any Fund within three months of its receipt of the Adviser's request, or such other shorter time period as may be required under the terms of a settlement agreement or court order, so as to eliminate all reference to the Name and will not thereafter transact any business using the Name in the name of any Fund; provided, however, that the Trust may continue to use beyond such date any supplies of prospectuses, marketing materials and similar documents that the Trust had on the date of such name change in quantities not exceeding those historically produced and used in connection with such Fund.
