First Exercise Period definition

First Exercise Period has the meaning set forth in Section 7.4.
First Exercise Period has the meaning provided in Section 3.3(b) hereof. “First Extension Term” has the meaning provided in Section 2.2(b) hereof.
First Exercise Period. In respect of a prepayment for the First Extension Term, the period of time that is no greater than 60 days before the first day of the First Extension Term and no less than 30 days before the first day of the First Extension Term.

More Definitions of First Exercise Period

First Exercise Period means the term commencing on the date six months following the Issue Date and ending on the expiration of this Warrant pursuant to Section 13 hereof.
First Exercise Period means the first period during which the Warrants may be exercised at the First Exercise Price, commencing on and including the date of issue of the Warrants and expiring at 5.00 p.m. on the date falling six (6) months after the Issue Date, unless such date is a date on which the Register of Members and/or the Warrant Register is closed or is not a Market Day, in which event the exercise period shall end on the Market Day immediately preceding the closure of the Register of Members and/or the Warrant Register, or the preceding Market Day, as the case may be, but excludes any period during which the Warrant Register is closed;
First Exercise Period means the period commencing on the date on which the Company shall deliver to all of the Optionholders the Accounts and ending on the First Termination Date;
First Exercise Period means the period from (and including) the date falling on the first anniversary of the First Utilisation Date (the First Exercise Date) to (and including) the date falling 15 Business Days from the First Exercise Date.
First Exercise Period means the period set forth in Clause 8.5.1. “First Issue Date” means 26 June 2014.

Related to First Exercise Period

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Exercise Period means the period commencing on the Issuance Date and ending on 5:00 p.m. eastern standard time on the five-year anniversary thereof.

  • Option Exercise Period has the meaning set forth in Section 5.3(c).

  • Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).

  • Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.

  • Date of Exercise means the date on which the Company shall have received (i) this Warrant (or any New Warrant, as applicable), with the Form of Election to Purchase attached hereto (or attached to such New Warrant) appropriately completed and duly signed, and (ii) payment of the Exercise Price for the number of Warrant Shares so indicated by the holder hereof to be purchased.

  • Make-Whole Exercise Solely for purposes of this Section 6.2, the “Redemption Fair Market Value” shall mean the volume weighted average price of the Ordinary Shares for the ten (10) trading days immediately following the date on which notice of redemption pursuant to this Section 6.2 is sent to the Registered Holders. In connection with any redemption pursuant to this Section 6.2, the Company shall provide the Registered Holders with the Redemption Fair Market Value no later than one (1) Business Day after the ten (10) trading day period described above ends.   • Call Option Date As defined in Section 10.01(a) hereof.

  • Warrant Expiration Date means 5:00 P.M. (New York time) on __________, 2001 or the Redemption Date as defined in Section 8, whichever is earlier; provided that if such date shall in the State of New York be a holiday or a day on which banks are authorized or required to close, then 5:00 P.M. (New York time) on the next following day which in the State of New York is not a holiday or a day on which banks are authorized or required to close. Upon notice to all warrantholders the Company shall have the right to extend the warrant expiration date.

  • Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.
