Date of Exercise definition

Date of Exercise means the date on which the Company shall have received (i) this Warrant (or any New Warrant, as applicable), with the Form of Election to Purchase attached hereto (or attached to such New Warrant) appropriately completed and duly signed, and (ii) payment of the Exercise Price for the number of Warrant Shares so indicated by the holder hereof to be purchased.

Date of Exercise means the date on which the Holder shall have delivered to the Company: (i) the Exercise Notice (with the Warrant Exercise Log attached to it), appropriately completed and duly signed and (ii) if such Holder is not utilizing the cashless exercise provisions set forth in this Warrant, payment of the Exercise Price for the number of Warrant Shares so indicated by the Holder to be purchased.

Date of Exercise means the date on which the Company receives notice of the exercise of an Option or SAR in accordance with the terms of Section 8.

• A = The average closing bid price of the Common Stock for the five (5) trading days immediately prior to the Date of Exercise.

• The Board of Directors of the Bank shall have the right, at any time within 30 working days from the Last Date of Exercise of Subscription Rights and the exercise of the Presubscription Right, i.e. until 28 January 2015 that date inclusive, to raise up to €20.269.654 which correspond to the unexercised Subscription Rights that have not been covered during the exercise of the Presubscription Right, as it deems appropriate.

• The Company shall take all actions, including timely filing all reports and other documents with the SEC, necessary for the Warrant Holder to, and will refrain from taking any actions which would prevent the Warrant Holder from being able to, sell or transfer the Warrant Shares (a) obtained by means of a cashless exercise pursuant to Section 9 within six (6) months following the Issuance Date or (b) otherwise obtained by exercise of this Warrant within six (6) months following the Date of Exercise.

More Definitions of Date of Exercise

Date of Exercise means the date the Company receives notice, by an Optionee, of the exercise of an Option pursuant to section 8.1 of the Plan. Such notice shall indicate the number of shares of Stock the Optionee intends to exercise.

Date of Exercise means the date on which the Company receives notice pursuant to Section 5.2 of the exercise, as a whole or in part, of the Option.

If the Warrant Holder has not sent advance notice by facsimile, the Date of Exercise shall be the date the original Exercise Form is received by the Company.
