Final Measurement Date definition

Final Measurement Date means the date identified as such on the cover page of this Award Agreement.

  • Notwithstanding the foregoing, if there is a Change in Control prior to the Final Measurement Date, payment of the Award will be based on performance at the level determined in accordance with the provisions of Section 3.4.

  • From and after the day following the Final Measurement Date, the Initial Interest Rate shall be increased by the amount equal to the increase, if any, in the Option Adjusted Spread quotation during the Measurement Period, rounded to the nearest basis point; provided, that the Initial Interest Rate shall not be increased by more than 25 basis points.


More Definitions of Final Measurement Date

Final Measurement Date means November 30, 2025.
Final Measurement Date means a Change in Control, or with respect to any Non-Cash Consideration, the date upon which all available Non-Cash Consideration is converted into Sponsor Cash Amounts, or if no Change in Control has occurred prior, the date following an Initial Public Offering upon which the Sponsor Group no longer holds equity securities of the Company.
