Outstanding Equity Securities means, as of any applicable date of determination, all shares of Capital Stock (including, for such purposes but without duplication, shares of Preferred Stock on an as-converted basis) outstanding as of such date of determination plus without duplication all shares of Common Stock issuable upon the exercise of Designated Options then outstanding.
