Subject to the foregoing provisions, nothing contained in this paragraph shall be construed to release the Kansas Lottery from the performance of any of the agreements on its part contained in this Lottery Gaming Facility Management Contract or to affect Manager’s right to seek reimbursement or damages from the Kansas Lottery as provided in this Agreement.
The Project is anticipated to be substantially completed no later than 36 months after the Effective Date of the Lottery Gaming Facility Management Contract between the State and Entertainment (as same may be amended from time to time, the “Gaming Facility Contract”), and at a minimum, shall consist of: · casino floor with 2,300 slot machines and 86 table games; and · 28,000 square foot of dining and entertainment space.
Licensor shall provide a completed operating system for the Technology and oil shale recovery plant in a business like manner at the cost outlined in the Facility Management Contract.
The Project is anticipated to be substantially completed approximately 36 months after the occurrence of the later of (i) the Lottery Gaming Facility Management Contract becoming effective or (ii) the Pending Suit has been resolved and this Agreement continues in effect as provided in Article I above.
During the term of this Agreement, the parties have agreed to costs and procedures outlined in the Facility Management Contract (copy attached and marked “Exhibit A”).
On a combined basis, Borrowers covenant and agree not to make any capital expenditures in any of the following fiscal years that exceed the following aggregate sums unless otherwise required by the Facility Management Contract: i) $3,000,000.00 during the fiscal year ending April 30, 2021; ii) $2,000,000.00 during the fiscal year ending April 30, 2022; and iii) $1,500,000.00 during the fiscal year ending April 30, 2023, and during each fiscal year thereafter.
Prior to the expiration of this Agreement but not before completion of the minimum infrastructure investment and provided Manager has maintained the Lottery Gaming Facility in accordance with the terms of the Lottery Facility Management Contract, as certified by the Executive Director, Manager or the Kansas Lottery may request to negotiate renewal of this Agreement under K.S.A. 2008 Supp.
In the event of a proposed termination pursuant to this Article, the Enterprise shall provide notice of the termination to the Kansas Lottery or other appropriate Governmental Authorities within ten (10) days after the termination if and to the extent the Enterprise reasonably determines that such notice is required under applicable law or the terms of the Lottery Facility Management Contract.
The Manager shall prepare a draft of personnel policies and procedures (the “Project Employee Policies”), including a job classification system with salary levels and scales and job descriptions (including duties), in accordance with all applicable Employment Laws and Gaming Laws, any staffing plan approved by the Executive Director under the Lottery Facility Management Contract and the Operating Standard, which policies and procedures shall be subject to approval by the Enterprise.
Following award of the Lottery Gaming Facility Management Contract by the State of Kansas to Pinnacle, Pinnacle shall have the right to assign this Agreement without the consent of the Unified Government, so long as such assignment is in compliance with KELA and all rules and regulations established by the State of Kansas pursuant thereto.
