Equity Award Adjustment Ratio definition

Equity Award Adjustment Ratio means the adjustment ratio adopted by the Xxxxxxx Board or the Compensation Committee of the Xxxxxxx Board in its sole and absolute discretion for purposes of making equitable adjustments to the awards held by Veralto Employees under the Xxxxxxx Stock Plan.
Equity Award Adjustment Ratio shall have the meaning set forth in Section 2.03(b).
Equity Award Adjustment Ratio means (x) the Offer Consideration divided by (y) the average closing price of the common stock of Parent on NASDAQ for the twenty (20) consecutive trading days ending on the trading day immediately preceding the date of the Closing, rounded to the nearest one ten thousandth. With respect to any fractional share that was rounded down in respect of any Company RSU, the holder shall be entitled to receive an amount in cash, without interest, equal to the product obtained by multiplying (x) the Offer Consideration by (y) such fractional share.
