Long-Term Performance Award definition

Long-Term Performance Award means an award under Section 10 below. A Long-Term Performance Award shall permit the recipient to receive a cash or stock bonus (as determined by the Committee) upon satisfaction of such performance factors as are set out in the recipient's individual grant. Long-Term Performance Awards will be based upon the achievement of Company, Subsidiary and/or individual performance factors or upon such other criteria as the Committee may deem appropriate.
Long-Term Performance Award or "Long-Term Award" means an award --------------------------- --------------- made pursuant to Section 8 hereof that is payable in cash and/or Shares (including Restricted Stock, Performance Shares and Performance Units) in accordance with the terms of the grant, based on Company, business unit and/or individual performance, in each case as determined by the Committee and as set forth in the grant letter.

  • Long-Term Performance Awards shall be confirmed by, and be subject to the terms of, a Long-Term Performance Award agreement.
