Employees - Seller Group means those individuals employed by the Seller exclusively in the Hospital Business as at the date of this Deed and any other individuals who are employed by the Seller exclusively in the Hospital Business in the period between the date of this Deed and C&P Completion or C&P Trust Declaration (as the case may be).

Examples of Employees - Seller Group in a sentence

  • The Buyer must offer employment to each of the Employees - Seller Group and the engagement of each of the Independent Contractors - Seller Group to commence from the day after the C&P Completion Date.

  • The offer of such employment must be communicated to the Employees - Seller Group or the Independent Contractors - Seller Group in the form agreed between the parties acting reasonably at least 10 Business Days before the C&P Completion Date.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Company Group means the Company and its Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Purchaser’s Group means the Purchaser and its Affiliates from time to time;

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Purchaser Personnel means the Purchasers’, and each Purchaser’s Affiliates’, officers, directors (or their equivalent), employees, agents, and contractors of any kind.

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

  • Company Employee means an employee of the Company or any of its Subsidiaries.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.
