Election Record Date definition

Election Record Date has the meaning as set forth in Section 3.02(c).

Election Record Date means the date that is five Business Days prior to the Mailing Date.

• To the extent a General Unsecured Claim of an Eligible Holder that elected treatment pursuant to Article III.B.4(b)(i)(2) is, after the NCS Election Record Date, Allowed, such portion of such General Unsecured Claim shall receive treatment under Article III.B.4(b)(i)(1).

• On or prior to the Election Record Date, IAC and New IAC shall enter into an agreement reasonably acceptable to Match with a bank, trust company or other appropriate service provider (the “Agent”; and such agreement, the “Agent Agreement”), which agreement shall provide, among other things, for the payments and delivery of shares contemplated by this Article III.
