Ecolab means Ecolab Inc., a Delaware corporation with its headquarters in St.
Ecolab or the "COMPANY"), proposes to issue and sell its senior unsecured debt securities (the "DEBT SECURITIES") in one or more offerings on the terms and conditions determined at the time of sale to the underwriters named in Annex I hereto (the "UNDERWRITERS" or "YOU"), for whom you (the "REPRESENTATIVE" or "YOU") are acting as representative. The Debt Securities will be issued pursuant to an indenture dated as of November 1, 1996 (the "INDENTURE") between the Company and The First National Bank of Chicago, as trustee (the "TRUSTEE").
