Any certificate signed by any duly authorized officer of the Company in connection with the Offering and delivered to the Representative or to DLA Piper shall be deemed a representation and warranty by the Company to the Underwriters as to the matters covered thereby.
Notwithstanding the foregoing, if the Company or the Operating Partnership is required to retain counsel, any such counsel shall be selected by the Company (and may include DLA Piper LLP (US)).
DLA Piper LLP (US), counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion and 10b-5 statement, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
