Umbrella Agreement. If ArenaCo is the successful bidder for the Project, or if no bid is received on the call and the City and County determine to proceed with the Project without any further call for bids, then as soon as reasonably practicable the Parties intend to enter into a comprehensive agreement that will include the Transaction Documents in substantially final form as exhibits thereto (the “Umbrella Agreement”). The Umbrella Agreement will incorporate conditions precedent substantially in the form set forth in paragraphs 21 and 22 below, except to the extent that such conditions precedent shall have been met or waived at the time of the execution of the Umbrella Agreement.
Umbrella Agreement. This Lease is subject to the terms and conditions of the Umbrella Agreement, the terms of which are incorporated by reference. A default under the Umbrella Agreement shall, as provided in the Umbrella Agreement, be default of this Lease.
Umbrella Agreement. An agreement between the Transmission Provider and Transmission Customer which provides all the information necessary to enable such Transmission Customer to receive Short-Term Firm or Non-Firm Point-to-Point Transmission Service under this Tariff for a maximum period of three years without the necessity of executing a Service Agreement for each Completed Application. Umbrella Agreement. Effective on the Closing Date, the Umbrella Agreement shall terminate and be of no further force or effect, except with respect to claims made by the parties thereunder which are pending on the Closing Date which claims shall continue to be governed by the Umbrella Agreement.
Umbrella Agreement. The definition of XXXX Insolvency Event, as adopted herein, is hereby added to the definitions section of the Umbrella Agreement.
Umbrella Agreement no commitment to scope of Services- Notwithstanding anything to the contrary in any of the Tender Documents, it is hereby agreed and clarified that nothing herein /in this framework Contract shall oblige the Authority to order Services or any part thereof, at any capacity, quantity, or timeframes from the Service Provider. The Service Provider hereby waives any claim regarding the capacity, quantity, or timeframes of the Services ordered by the Authority during the Term.
Umbrella Agreement. The parties hereby amend and restate the final paragraph of Section 24 (Termination for Cause; Suspension) of the Umbrella Agreement by deleting it in its entirety and inserting the following in place thereof and in substitution therefore: Either party to this Agreement may suspend the processing of new applications for Bank of America School Channel Loans in the event of the downgrading of TERI's creditworthiness below "A" by Fitch Investors Service or below "Baa3" by Xxxxx'x Investors Service, Inc., or in the event a default by XXXX for failure to pay a guaranty claim is declared under any XXXX guaranty agreement with any lender. Such suspension shall continue, at the discretion of the party declaring the same, until the condition creating the right to suspend is cured.
