Discounted Target Price definition

Discounted Target Price means, if a Disposition or an Event of Default shall occur prior to the Maturity Date, $185.00 discounted from the Maturity Date back to the Disposition Payment Date or the Default Payment Date, as the case may be, at a per annum rate of 6%. In each case, upon each occurrence of an event specified in Section 301(k) of the Agreement, such amount, as it may have been previously adjusted, shall be adjusted pursuant to Section 301(k) of the Agreement.
Discounted Target Price has the meaning set forth in Section 203.
Discounted Target Price means (A) if a Disposition or an Event of Default shall occur prior to the Maturity Date, $21.10 multiplied by the lesser of 1.0 and the relevant Index Factor as of the Disposition Payment Date or the Default Payment Date, as the case may be, and discounted from the Maturity Date to the Disposition Payment Date or the Default Payment Date, as the case may be, at a per annum rate of 8%; or (B) if a Disposition or an Event of Default shall occur after the Maturity Date but prior to the Extended Maturity Date, $25.10 multiplied by the lesser of 1.0 and the Index Factor as of the Disposition Payment Date or the Default Payment Date, as the case may be, and discounted from the Extended Maturity Date to the Disposition Payment Date or the Default Payment Date, as the case may be, at a per annum rate of 8%. In each case, upon each occurrence of an event specified in Section 1.02(c), such amounts, as they may have been previously adjusted, shall be adjusted pursuant to Section 1.02(c).

Discounted Target Price shall have the meaning set forth in Section 1.03(a)(iv).

Discounted Target Price means (a) if a Disposition or an Event of Default shall occur prior to the Maturity Date, $21.10 reduced but not C-2 5 increased by the relevant Index Factor, discounted to the Disposition Payment Date (as defined below) or the Default Payment Date (as defined below), as the case may be, at a per annum rate of 8%; or (b) if a Disposition or an Event of Default shall occur after the Maturity Date but prior to the Extended Maturity Date, $25.10 reduced but not increased by the relevant Index Factor discounted to the date of the Disposition Payment Date or Default Payment Date, as the case may be, at a per annum rate of 8%. "Disposition Payment Date", with respect to a Disposition, means the date established by MC for payment of the amount due on the VCRs in respect of such Disposition, which in no event shall be more than 38 days after the date on which such Disposition was consummated. "Default Payment Date" means the date on which the VCRs become due and payable upon the declaration thereof following an Event of Default.
Discounted Target Price means $185.00, discounted from the Maturity Date Target Price to the Disposition Payment Date (as defined below) or the Default Payment Date (as defined below), as the case may be, at a per annum rate of 6%. The Discounted Target Price and the Minimum Price shall be adjusted upon the occurrence of any event described in the Section entitled "Antidilution" set forth below. "Default Payment Date" means the date on which the CVRs become due and payable upon the declaration thereof following an Event of Default. Early Redemption Date means the date established by Xxxxxx Holdings for redemption of the CVRs upon an Early Redemption.

  • Target Price means the estimated amount payable to the Contractor for the performance of the Work under a Cost Plus Fixed Fee (CPFF) Contract.

If Counterparty disputes the Calculation Agent’s determination of the Current Price of any Reference Obligation, then Counterparty may, no later than two hours after Counterparty is given notice of such determination, (a) designate up to two entities, each of which shall be either (i) an Approved Buyer or (ii) a Dealer of credit standing acceptable to Citibank in the exercise of its reasonable discretion and (b) provide to Citibank within such two-hour period with respect to each such Approved Buyer or Dealer a Firm Bid with respect to the entire Reference Amount of the Reference Obligation.   • M2 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 65.70% minus the Additional Required Enhancement Percentage and (ii) the Pool Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Pool Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (ii) 0.50% of the Cut-off Date Balance.
