Direct Channel definition

Direct Channel means bona fide sales by a Party directly to customers (end users) who are not in the Commercial Channel or Permitted Retail Channel, such as to individuals who will use or gift the products, and will not make the products available to additional users in a commercial, business, or government setting.
Direct Channel means a subscriber who subscribes to the Company’s services without a channel relationship between the subscriber and the Company.
Direct Channel means Verizon’s internal direct sales force including but not limited to corporate, business-to-business and government channels, the Direct Stores, the Verizon website, and Verizon telesales. Direct Store(s) means the Verizon operated retail locations offering, selling, and marketing Verizon Service and Equipment. Disconnects means or refers to Activations that have been de-activated. End-User Customer means a commercial entity that is the purchaser or ultimate user of the Authorized Verizon Products and is not a (i) VAR, (ii) member of the Verizon Partner Program, or (iii) reseller.

  • In commercializing the FF Products in Canada through Direct Channel Sales or Retail Sales, Knight shall not pursue a brand strategy that Synergy, acting reasonably, determines is materially adverse to the brand equity of FF Products in Canada.

  • For greater certainty, the said appointment shall not limit the right of Knight (directly or through its Affiliates) to distribute FF Products in Canada through Direct Channel Sales and Retail Sales.

  • Knight will supply FF Products to Synergy at a price (the “Product Price”) equal to the aggregate of (i) the Cost of Goods and (ii) in respect to FF Products sold through Direct Channel Sales, thirty percent (30%) of Gross Sales from Direct Channel Sales and (iii) in respect to FF Products sold though Retail Sales, five percent (5%) of Gross Sales from Retail Sales.

Related to Direct Channel

  • Access Channel means any Channel, or portion thereof, designated for Access purposes or otherwise made available to facilitate or transmit Access programming or services.

  • Digital Cross Connect System or "DCS" is a function which provides automated Cross Connection of Digital Signal Level 0 (DS0) or higher transmission bit rate digital channels within physical interface facilities. Types of DCS include but are not limited to DCS 1/0s, DCS 3/1s, and DCS 3/3s, where the nomenclature 1/0 denotes interfaces typically at the DS1 rate or greater with Cross Connection typically at the DS0 rate. This same nomenclature, at the appropriate rate substitution, extends to the other types of DCS specifically cited as 3/1 and 3/3. Types of DCS that cross connect Synchronous Transport Signal level 1 (STS-1 s) or other Synchronous Optical Network (SONET) signals (e.g., STS-3) are also DCS, although not denoted by this same type of nomenclature. DCS may provide the functionality of more than one of the aforementioned DCS types (e.g., DCS 3/3/1 which combines functionality of DCS 3/3 and DCS 3/1). For such DCS, the requirements will be, at least, the aggregation of requirements on the "component" DCS. In locations where automated Cross Connection capability does not exist, DCS will be defined as the combination of the functionality provided by a Digital Signal Cross Connect (DSX) or Light Guide Cross Connect (LGX) patch panels and D4 channel banks or other DS0 and above multiplexing equipment used to provide the function of a manual Cross Connection. Interconnection is between a DSX or LGX to a Switch, another Cross Connection, or other service platform device.

  • Mobile Network means the network facilities and/or network services comprising the public cellular network for the provision of Call Communications.
