Demand Investor definition

Demand Investor has the meaning given in Section 3(c)(i).
Demand Investor means an Investor that, together with its Permitted Transferees and their respective Permitted Transferees who are in each case Investors, holds at least a Registrable Amount.
Demand Investor means, (i) at any time, Members holding Common Units representing a Percentage Interest of at least 60% or (ii) at any time following the three year anniversary of an IPO, Members holding Common Units representing a Percentage Interest of at least 50%.

Examples of Demand Investor in a sentence

  • If such a blackout is instituted in connection with a demand registration initiated by a Demand Investor, such demand shall not constitute a demand registration right of such initiating Demand Investor.

  • If any Demand Investor exercises a demand right for an underwritten shelf takedown, such Demand Investor shall provide at least two (2) Business Days’ prior notice to the Company.

  • Any release from the holdback period of a Demand Investor shall apply to others pro rata based on ownership of Equity Securities of the Company.

  • A Demand Investor and any other Holder that has requested its Registrable Securities be included in a Demand Registration pursuant to Section 2.01(e) may withdraw all or any portion of its Registrable Securities included in a Demand Registration from a Demand Registration at any time prior to the effectiveness of the applicable Demand Registration Statement.

  • Demand Registrations shall be on such appropriate registration form of the SEC as shall be selected by the Demand Investor requesting any such Demand Registration and as shall be reasonably acceptable to the Company.

  • The applicable Demand Investor, in the case of a Demand Registration, or the holders of a majority of the Registrable Securities included in such Underwritten Offering, in the case of an offering pursuant to a Shelf Registration Statement, shall, after consulting with the Company, have the right to select the managing underwriter or underwriters for the offering subject to the right of the Company to select one co-managing underwriter reasonably acceptable to such holders.

  • In the case of an Underwritten Offering in a Requested Registration, the price, underwriting discount and other financial terms for each class of Registrable Securities of the related underwriting agreement shall be determined by the holders of a majority of such class of Registrable Securities whose shares are included therein (including each Demand Investor with Registrable Securities included therein).

  • Such Registration Statement shall contain (unless otherwise directed by the Demand Investor and except if otherwise required pursuant to written comments received from the Commission upon a review of such Registration Statement or pursuant to judicial and SEC interpretations) the "PLAN OF DISTRIBUTION" attached hereto as ANNEX A.

  • At any time before the Registration Statement covering Demand Securities becomes effective, the requesting Demand Investor may request the Company to withdraw or not to file such Registration Statement.


More Definitions of Demand Investor

Demand Investor means any of (i) the Permira Investor, (ii) FP and (iii) GPI so long as they, collectively with their permitted transferees, hold at least 1,192,748 shares of Registrable Securities (subject to appropriate to appropriate adjustment in the event of any stock dividend, stock split, combination or similar recapitalization affecting such shares).
Demand Investor has the meaning set forth in Section 2.1(a).
Demand Investor means, (i) at any time, all of Xxxxx, GSCP and VAC or (ii) at anytime following the three year anniversary of an IPO, the Majority Sponsors.
Demand Investor means any Person who is exercising (x) a "demand" right to require the Company register securities held by such Person or (y) a "piggyback" right to include securities in a registration on a pro rata basis with the Person whose demand right results in such registration.
Demand Investor means (a) PMI; (b) Blackstone; (c) Cypress; and (d) CIVC, upon the earlier of (i) the seventh anniversary of the Closing Date, or (ii) the date upon which either Blackstone or Cypress ceases to be a Principal Investor.

  • Demand Registration Request shall have the meaning set forth in Section 3.1.1(a).

  • Shelf Takedown means an Underwritten Shelf Takedown or any proposed transfer or sale using a Registration Statement, including a Piggyback Registration.

  • Investor means the Buyer, any transferee or assignee thereof to whom a Buyer assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement, and any transferee or assignee thereof to whom a transferee or assignee assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement.

  • Qualified Investor means an investor who has been certified by the commissioner under subdivision 3.

  • Demanding Holder shall have the meaning given in subsection 2.1.1.

  • Shelf Takedown Notice shall have the meaning given in subsection 2.1.3.

  • Demand Registration Statement has the meaning set forth in Section 2.01(a).

  • Requesting Investor has the meaning set forth in Section 7.5 of the Indenture.

  • Qualified Investors means investors who are professional clients (client professionnel/professionele cliënt) or eligible counterparty (contrepartie éligible/in aanmerking komende tegenpartij) as defined in the Belgian Prospectus Law of 16 June 2006 (as amended from time to time). Conditions to which the offer is subject: The Offer of the Notes is conditional on its issue.

  • Demand Notice has the meaning set forth in Section 2(a)(i).

  • Approved Investor means any institution which has made a Takeout Commitment and has been approved by Buyer and not subsequently disapproved by Buyer.

  • Required Investors means the Investors holding a majority of the Registrable Securities.

  • Investor Registrable Securities means (i) any Common Equity held (directly or indirectly) by an Investor or any of its Affiliates, and (ii) any equity securities of the Company or any Subsidiary issued or issuable with respect to the securities referred to in clause (i) above by way of dividend, distribution, split or combination of securities, or any recapitalization, merger, consolidation or other reorganization.

  • Piggyback Request has the meaning set forth in Section 2(b).
