The Company shall also pay the reasonable and documented fees and expenses of one (1) counsel of the Initiating Holder; provided that the Company shall not be responsible for fees and expenses of such counsel in excess of $50,000 in the aggregate pursuant to this clause in any twelve (12) month period or the fees and expenses of the counsel of any other Registration Rights Holder participating in the registration and/or offering.
