Decommissioning Charges definition

Decommissioning Charges means any and all costs incurred by the Provider of a Service in connection with the wind down of such Service to (i) terminate users, (ii) disable interfaces, (iii) decommission hardware or (iv) terminate employees or consultants.
Decommissioning Charges means, with respect to any Decom Service and without duplication of any Pass Through Charges or Termination Charges, all documented fees or expenses in respect of decommissioning such Decom Services as a result of any termination or, in the case of any hardware Decom Service, reduction, of such Decom Service (but in no event exceeding the monthly Service Charge (or, in the case of reduction, the applicable portion of the applicable monthly Service Charge) for such Decom Service prorated for the Maximum Decommissioning Period set forth opposite the applicable Decom Service on Schedule J). Notwithstanding anything to the contrary herein, there are no Decommissioning Charges other than for Decom Services as expressly set forth on Schedule J.

Examples of Decommissioning Charges in a sentence

  • Upon the mutual written agreement of the Parties, the Parties shall enter into a supplement to the applicable Schedule which shall describe in reasonable detail the nature, scope, Service Period(s), Service Charges, termination provisions (including, if applicable, Termination Charges and Decommissioning Charges) and other terms applicable to such Additional Service in a manner similar to that in which the Services are described in the existing Schedules.

  • All Termination Charges, Decommissioning Charges and Amortization Charges shall be invoiced and paid as provided in ARTICLE V.

  • Nothing in this ARTICLE VIII shall be deemed to eliminate or limit, in any respect, Parent’s or SpinCo’s express obligation in this Agreement to pay Termination Charges, Decommissioning Charges or Service Charges for Services rendered in accordance with this Agreement.

  • Operating Costs means the incremental expenses incurred by the Recipient on account of Project implementation, management, and monitoring, including for office space rental, utilities, and supplies, bank charges, communications, vehicle operation, maintenance, and insurance, building and equipment maintenance, advertising expenses, travel and supervision, salaries of contractual and temporary staff, but excluding salaries, fees, honoraria, and bonuses of members of the Recipient’s civil service.

  • RUNNING CHARGE PER KILOMETER means the rates payable against each KM run. and shall be deemed to include all the expenditures of the Transport Supplier viz., cost of fuel, tyre/tube, battery & consumables like lubricants etc. and other maintenance expenditures including accessories involved including GST element as applicable towards movement of the vehicle(s)/equipment.

  • Basic generation service transition costs means the amount by

  • Utility Charges means water, sewer, electricity, gas and other utility charges, if any, applicable to the Real Property or the Leased Real Property;

  • Commissioning means the process for determining the need for and for obtaining the supply of healthcare and related services by the Trust within available resources.

  • Contract Charges means charges that accrue during a given month as defined in Article III. “Contract Term” is defined in Article IV.
