During the Exercise Period, the employee may exercise the warrants only within the periods applicable under the internal regulations on insider trading in shares laid down by the Company pursuant to the Danish Securities Trading Act ( Værdipapirhandelsloven).
The warrants may generally not be exercised if the employee at the date of exercising the warrants has internal knowledge in accordance with the relevant provisions of the Danish Securities Trading Act.
If any buyer of shares in the company is obliged to submit a tender to the other shareholders pursuant to the Danish Securities Trading Act, or if an industrial buyer or a group of industrial buyers jointly acquire 50% or more of the com- pany's share capital by a capital increase, or if the company sells 50% or more of its activities, or if a resolution is adopted regarding winding up or demerger or merger, notwithstanding the date of the exercise, the allotted warrants may be exercised early.
Such shares follow the general internal regu- lations on insider trading in shares laid down by the Company pursuant to the Danish Securities Trading Act.
In the event that a voluntary or mandatory public offer is made pursuant to sections 31 and 32 of the Danish Securities Trading Act and the Board of Directors (at its own discretion) decides that Warrants may therefore be exercised, the Company must notify the Warrant Holder in writing about this.
