Consent Contracts definition

Consent Contracts means those contracts which require Consent, being:
Consent Contracts means each of those contracts set out in schedule 13;
Consent Contracts means the contracts listed in Schedule 12 and any licence or contract to which a member of the Seller’s Group is a party and which requires a consent or waiver from the relevant counterparty in order for the relevant member of the Seller’s Group to provide the services required to be provided by it under the Transitional Services Agreement;

  • With respect to the Consent Contracts, the Seller shall procure that the Company will as soon as reasonably practicable after the date of this Agreement write to the relevant counterparties and request a waiver of the relevant termination rights and/or their consent to the change of control contemplated by this Agreement (as applicable).
