Seller has made available to Purchaser in the Data Room true, correct, and complete copies of all Operating Agreements and Equipment Leases.
To Seller’s Knowledge, (a) all Operating Agreements and Equipment Leases are in full force and effect, (b) neither Seller nor Manager has given or received any written notice of any default under any Operating Agreements and Equipment Leases which has not been fully cured, and (c) there are no material defaults under the Operating Agreements or Equipment Leases.
