Except as set forth in Section 3.2 to the Companies' Disclosure Schedule, the Company owns directly or indirectly each of the outstanding shares of capital stock (or other ownership interests having by their terms ordinary voting power to elect a majority of directors or others performing similar functions with respect to such subsidiary) of each of the subsidiaries and other entities identified in Section 3.2 of the Companies' Disclosure Schedule.
