CMLP Units definition

CMLP Units means the CMLP Common Units and the CMLP Class D Units.
CMLP Units has the meaning given that term in the Company Agreement.

  • In the event of a unit split, unit distribution or any change in the CMLP Units by reason of any split-up, reverse unit split, recapitalization, combination, reclassification, exchange of units or the like, the term “Subject Units” shall be deemed to refer to and include such CMLP Units as well as all such distributions and any securities of CMLP into which or for which any or all of such CMLP Units may be changed or exchanged or which are received in such transaction.

  • Each of the Crestwood Parties agrees that all CMLP Units that such Crestwood Party purchases, acquires the right to vote or otherwise acquires beneficial ownership of (as defined in Rule 13d-3 under the Exchange Act) after the execution of this Agreement shall be subject to the terms of this Agreement and shall constitute “Subject Units” for all purposes of this Agreement.

  • For so long as any CMLP Units are Registrable Securities, each Holder agrees that it will not sell any CMLP Units or other equity securities of Crestwood for a period of up to 60 days following the pricing date of an Underwritten Offering of equity securities by Crestwood; provided, however, that the duration of the foregoing restrictions shall be no longer than the duration of the shortest restriction imposed by the underwriters on the officers, directors or any Affiliate of Crestwood.

  • The determination of the number of CMLP Units to be paid as Liquidated Damages shall be based upon the CMLP Unit Price, determined as of the date on which the Liquidated Damages payment is due.

  • Upon any issuance of CMLP Units as Liquidated Damages, Crestwood shall (i) prepare and file an amendment to the Resale Registration Statement prior to its effectiveness adding such CMLP Units to such Resale Registration Statement as additional Registrable Securities and (ii) prepare and file a supplemental listing application with the NYSE (or such other market on which the Registrable Securities are then listed and traded) to list such additional CMLP Units.

  • The piggyback rights under Section 2.2 will terminate at the earlier of (i) with respect to a Holder, the time at which such Holder and its Affiliates own less than $10.0 million of Registrable Securities (based on the Redemption Price) or (ii) the CMLP Units cease to be Registrable Securities.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Common Units means common units representing limited partner interests in the Partnership.

  • Company Units has the meaning set forth in the Recitals.

  • LLC Units has the meaning set forth in the LLC Agreement.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Series A Units means Series A currency hedged mutual fund units or Series A non-currency hedged mutual fund units of a fund, as applicable.

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Covered Units means, with respect to each Unitholder, such Unitholder’s Existing Units, together with any WMLP Common Units that such Unitholder becomes the Record Holder or beneficial owner of on or after the date hereof.

  • LTIP Units means LTIP Units, as such term is defined in the Partnership Agreement.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Common Units means the Company's Class A Common Units.

  • Preferred Units means a Partnership Interest, including the Series A Preferred Units, designated as a “Preferred Unit,” which entitles the holder thereof to a preference with respect to distributions, or as to the distribution of assets upon any Liquidation Event, over Common Units.

  • Partnership Interests shall have the meaning specified in Section 6.3 [Subsidiaries].

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Offered Units shall have the meaning set forth in Section 11.1 hereof.

  • Series B Preferred Units means the Partnership's 8 5/8% Series B Cumulative Redeemable Partnership Units.

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).
