Except as otherwise required by non waivable provisions of Applicable Law or as provided herein, only Class A Units shall be entitled to vote on any matter involving the Company or its Subsidiaries, including any matter presented to the Members for approval, and the Class B Units shall not be entitled to vote on any matter involving the Company or its Subsidiaries.
The Company shall initially have two authorized types of Units, consisting of Class A Units and Class B Units.
The Board may, in its sole discretion issue any authorized but unissued Class A Units or Class B Units to such Persons as it may from time to time determine.
The Company is authorized to issue up to the following number of Units: (i) 2,000,000 Class A Units and (ii) 7,000,000 Class B Units.
To the extent any Class A Units or Class B Units are forfeited, they may be reissued by the Board in its sole discretion following the consultation with the then-current Chief Executive Officer of the Company.
