• The Underwriters hereby severally represent and warrant to and covenant with the Corporation that at least one of the Underwriters is duly qualified and registered to carry on business as a securities dealer in each of the Selling Jurisdictions (other than the United States) where the sale of the Offered Units requires such qualification and/or registration in a manner that permits the sale of the Offered Units on a basis described in subsection 2(a).

• The Underwriters shall be entitled (but not obligated) to appoint a soliciting dealer group consisting of other registered dealers for the purposes of arranging for purchases of the Offered Units.

• In addition, the Corporation hereby grants an option (the "Over-Allotment Option") to the Underwriters entitling the Underwriters to purchase from the Corporation, on and subject to the terms and conditions contained herein, in whole or in part at any time, until 11:59 p.m. (Toronto time) on the 30th day following the Closing Date, up to 1,161,000 additional Offered Units (the "Additional Units") at the Offering Price for additional gross proceeds of up to $3,750,030.
