Class A Common Units definition

Class A Common Units means the Company's Class A Common Units.

Class A Common Units has the meaning set forth in Section 3.1.

Class A Common Units means the limited partner Class A Common Units as defined in the Partnership Agreement and any securities into which they shall have been converted or for which they shall have been exchanged including, following the creation of PublicCo (as defined in the Partnership Agreement), shares of common stock of PublicCo.

Examples of Class A Common Units in a sentence

• If, as a result of an exchange pursuant to the Exchange Agreement, Och-Ziff or any of its Subsidiaries (excluding any Operating Group Entity and any Subsidiary of an Operating Group Entity) acquires (in any manner) any Class A Common Units, each such Class A Common Unit will automatically convert into one Class B Common Unit, unless otherwise determined or cancelled.

• Subject to Sections 4.1(c) and 10.2(b), additional Units may be Class A Common Units, Class B Common Units or other Units.

• The Partnership will at all times prior to the Expiration Date take all action necessary to cause the Partnership Agreement, at all times, to provide for the sale of the maximum number of Class A Common Units which are subject to this Option.

• The Partnership covenants and agrees that the interest in the Partnership represented by the Class A Common Units to be delivered on the exercise of this Option and the payment of the applicable purchase price herein provided for shall, at the time of such delivery, be duly authorized and validly issued paid and entitle the holder thereof to the full benefits of a holder of Class A Common Units under the Partnership Agreement.

• If this Option is exercised in respect of less than all of the Class A Common Units at the time purchasable hereunder, the Holder shall be entitled to receive a revised Option as provided in Section 12.

More Definitions of Class A Common Units

Class A Common Units means the common limited liability company interests described in Section 3.1(a)(i) and having the rights and preferences specified herein.

Class A Common Units means the Class A Common Units of the Company having the rights and obligations set forth in the LLC Agreement.

Class A Common Units has the meaning given such term in the LLC Agreement.

Class A Common Units means a Partnership Unit which is designated as a Class A Common Unit of the Partnership.

Class A Common Units. “Class C Common Units,” “Class C-1 Common Units,” “Class C-2 Common Units” and “Class C-3 Common Units” each have the meaning set forth in the LLC Agreement.
