Other than this Agreement and the Organizational Documents of Company, Company Parent is not party to any voting trust or other agreement with respect to the voting, redemption, sale, pledge, transfer or other disposition of the Company Units.
The Company Units constitute all of the issued and outstanding Equity Interests of Company, and all of the outstanding Equity Interests of Company are duly authorized, validly issued, fully paid and non-assessable.
The Company Units were issued in compliance with all applicable securities Laws and not in violation of the Organizational Documents of Company and are not subject to (and were not issued in violation of) any subscription rights, purchase options, call options, rights of first refusal or other similar rights of any Person.
Except for Company Parent, no other Person owns beneficially or of record any Company Units or any other Equity Interests of Company or has the power to vote or direct the vote of any Company Units.
Company Parent has valid title to, and is the record and beneficial owner of, all of the Company Units, free and clear of all Liens other than restrictions on transfer of securities under this Agreement, applicable securities Laws or Company’s Organizational Documents and any Liens created by or through Buyer, Merger Sub or any of their Affiliates.
