Nothing in this Contribution Agreement shall be construed to create a partnership, joint venture, or agency relationship between or among the parties, or create any fiduciary relationship between or among them, except as expressly provided in the Company Agreement with respect to the Members’ Membership Interests in the Company.

In the event of any conflict between the terms of this Contribution Agreement and the Company Agreement, the terms of this Contribution Agreement shall control with respect to the subject matter hereof; provided, that nothing in this Contribution Agreement shall be deemed to amend the Company Agreement except to the extent expressly set forth herein.
