The Company shall have the option (but not the obligation) to redeem all, but not less than all, of the Preferred Units held by all of the Preferred Members (the “Optional Redemption”) by providing an irrevocable written notice to each Preferred Member at any time following the Effective Date (an “Optional Redemption Notice”).
Any Series A Accruing Distribution shall be paid in cash, shall accrue on a daily basis (whether or not declared), shall be cumulative and shall compound quarterly; provided, that, with respect to any amounts accruing during a quarter, the same shall only commence compounding as of the end of such quarter, unless all accrued but unpaid distributions on the Series A Preferred Units are declared and paid.
The rights, privileges and preferences of the Preferred Units are as stated in the Restated Company Agreement.
