BYBK Companies definition

BYBK Companies means BYBK, Bay Bank and any other BYBK Subsidiary, collectively. BYBK Disclosure Schedule means, collectively, the disclosure schedules delivered by BYBK to OLB at or prior to the execution and delivery of this Agreement, as may be updated pursuant to Section 5.6 of this Agreement.

Examples of BYBK Companies in a sentence

  • None of the BYBK Companies has any obligation or liability that is material to its financial condition or operations or that, when combined with all similar obligations or liabilities, would be material to its financial condition or operations except (a) as disclosed in the BYBK Financials delivered or made available to OLB prior to the date of this Agreement, or (b) as contemplated under this Agreement.

  • Except as described in BYBK Disclosure Schedule 3.36, none of the BYBK Companies provides, or has provided, merchant credit card processing services to any merchants.

  • There is no labor strike or labor dispute (other than routine employee grievances that are not related to union employees), work slowdown, stoppage, lockout or other job action pending or, to the Knowledge of BYBK, threatened, against any of the BYBK Companies.

  • There are no Liens on any of the assets of the BYBK Companies with respect to BYBK Taxes, other than Liens for BYBK Taxes not yet due and payable.

  • The allowance for loan losses reflected in reports by the BYBK Companies to each Regulatory Authority has been and will be established in compliance with the requirements of all regulatory criteria, and the allowance for loan losses shown in the BYBK Financials has been and will be established and maintained in accordance with GAAP and applicable Law and in a manner consistent with Bay Bank’s internal policies.

  • The Stockholder shall not take any action that is described in Section 5.1(c) of the Merger Agreement as an action of which the BYBK Companies are prohibited from authorizing or permitting their respective officers, directors or employees to take.

  • To the Knowledge of BYBK, no pending or threatened Litigation described in BYBK Disclosure Schedule 3.10 could reasonably be expected to (a) have a Material Adverse Effect, (b) question the validity of any action taken or to be taken in connection with this Agreement or the Contemplated Transactions, or (c) materially impair or delay the ability of the BYBK Companies to perform their obligations under this Agreement.

  • To the Knowledge of BYBK, no non-public customer information has been disclosed to or accessed by an unauthorized third party in a manner that would cause any of the BYBK Companies to undertake any remedial action.

  • Each of the BYBK Companies is in compliance in all material respects with all applicable Laws respecting employment and employment practices, terms and conditions of employment and wages and hours, and is not engaged in any unfair labor practice.

  • None of the BYBK Companies will take any action that will cause, cause any action to be taken that will cause or fail to take any action or fail to cause any action to be taken if such failure to act will have the effect of causing, the Merger not to qualify as a tax-free reorganization within the meaning of Section 368(a) of the IRC, nor have any of the BYBK Companies taken, caused, agreed to take or cause or failed to take or cause any such action.

Related to BYBK Companies

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Group Companies means the Company and its Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • HK Company shall have the meaning ascribed to it in the preamble of this Agreement.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Company Entities means the Company and the Company Subsidiaries.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Companies means Borrower and its Subsidiaries; and “Company” shall mean any one of them.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.

  • Seller Parent has the meaning set forth in the Preamble.

  • PRC Subsidiaries means all Company Subsidiaries organized under the Laws of the PRC.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Parent Subsidiaries means the Subsidiaries of Parent.
