Base Redemption Amount definition

Base Redemption Amount means, in respect of any principal amount of the Notes outstanding and to be redeemed by the Issuer pursuant to Condition 8, an amount equal to 100% of the principal amount stated in the Certificate.

Base Redemption Amount means the sum of (i) 100.00% of the aggregate principal amount of the Hybrid Tier I Notes being redeemed and (ii) an amount equal to unpaid interest, if any, thereon for the relevant Interest Period;
Base Redemption Amount means the sum of (a) the Future Warrants, provided, however, that no warrants shall be issued during or in connection with any liquidation or dissolution of the Company or winding-up of the Company and/or its business and affairs, PLUS (b) subject to paragraph (g) hereof an amount of cash equal to the GREATER of (I) the aggregate Liquidation Preference of the shares of Convertible Preference Stock to be redeemed plus, without duplication, an amount of cash equal to all accumulated and unpaid dividends per share of Convertible Preference Stock to be redeemed (including an amount of cash equal to a prorated dividend for the period from the Dividend Payment Date immediately prior to the Redemption Date to the Redemption Date) or (II) the Redemption Value of 7,348.7 shares of Common Stock (equaling 24% of the Company's issued and outstanding Common Stock as of the Issue Date), as adjusted (in the same manner as adjustments are made under Section 6.1 of the Future Warrants) for stock splits, stock dividends, issuances of capital stock of the Company or any securities of the Company convertible into capital stock to persons other than the Company's directors, officers, or employees for a consideration per share less than the then applicable Fair Market Value (as defined in the Stockholders Agreement) and similar transactions affecting the Common Stock occurring after the Issue Date, on the Redemption Date, such sum (in the case of a redemption of less than all of the Convertible Preference Stock) to be multiplied by a fraction equal to the number of shares of Convertible Preference Stock to be redeemed over 38,500. Related to Base Redemption Amount

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Minimum Redemption means, in relation to the Euro RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.
