B-1 Notes definition

B-1 Notes means the Senior Secured Notes (each referred to as a “Note B-1”) of Maker in such aggregate principal amount Maker may issue as a result of the outcome of the stockholder vote of the matters presented for their approval at the Initial Stockholder Meeting (as such term is defined in the Series B Designation) in effect from time to time in the form attached as Exhibit B-1 to the A Notes, as they may be amended, restated, modified or replaced in substitution in whole or in part by any other note or notes from time to time, including, but not necessarily limited to, the Senior Secured Notes which may be issued by Maker in substitution for or in addition to the B-1 Notes issued by Maker under the terms of such B-1 Notes.

  • The Class A-1 Notes, the Class A-2 Notes, Class A-3 Notes, Class A-4 Notes, Class A-5 Notes, Class M-1 Notes, Class M-2 Notes, Class B-1 Notes and Class B-2 Notes (collectively, the "Notes") are and will be equally and ratably secured by the collateral pledged as security therefor as provided in the Indenture.

  • All calculations of interest on the Securities (other than the Class A, M-2 and B-1 Notes) shall be made on the basis of a 30-day month and a year assumed to consist of 360 days.

Related to B-1 Notes

  • B Notes means each of Note B-1 and Note B-2.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-1 Notes means the Class A-1 1.28000% Asset-Backed Notes, substantially in the form of Exhibit A-1 to the Indenture.

  • A Notes means each Note that has a designation starting with “A”, either individually or in the aggregate as the context may require.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • 2022 Notes means the Borrower’s 5.00% Convertible Senior Notes due 2022.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • 2028 Notes means those 6.500% Senior Notes due 2028 issued by the Borrower in an aggregate principal amount of $400,000,000 pursuant to the 2028 Notes Documents.

  • Class A-4 Notes means the Class A-4 3.44% Asset-Backed Notes, substantially in the form of Exhibit A-4 to the Indenture.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • 2014 Notes means (i) the 4.850% Senior Secured Notes due 2024 issued by the Issuer on March 18, 2014 and (ii) the 4.45% Senior Secured Notes due 2025 and the 5.45% Senior Secured Notes due 2034 issued by the Issuer on August 21, 2014.

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • Class A-2a Notes means the Class A-2a 0.55% Asset-Backed Notes, substantially in the form of Exhibit A-2a to the Indenture.

  • Class A-1 Note means any of 5.604% Asset Backed Notes, Class A‑1, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • 2015 Notes means the 8.375% senior notes due 2015 in the principal amounts of $615 million and €500 million issued pursuant to the 2015 Notes Indenture.

  • Series C Notes is defined in Section 1.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class D Notes has the meaning assigned to such term in the Indenture.

  • 2016 Notes means the aggregate principal amount of US$460,000,000 of 4.25% Convertible Senior Notes Due 2016 issued pursuant to the 2016 Note Indenture.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • 2018 Notes means the Company’s 7.75% Senior Subordinated Notes due 2018 issued under the Indenture dated December 14, 2010 among the Company, Holdings and the subsidiary guarantors from time to time party thereto and The Bank of New York Mellon Trust Company, N.A., as Trustee.

  • Initial Class A-3 Note Balance means $380,000,000.

  • 2021 Notes means the 4.700% Senior Notes due 2021, originally issued by Ensco plc (now Valaris), a public limited company organized under the laws of England and Wales.
