AVERAGE COMMON STOCKHOLDERS definition

AVERAGE COMMON STOCKHOLDERS. EQUITY" means, with respect to any fiscal year, the sum of the month-end common stockholders' equity (excluding preferred stock) for the month of December of the fiscal year prior to the fiscal year for which Average Common Stockholders' Equity is being computed and each of the 12 months in the fiscal year, as reported by ML & Co., divided by 13.

(c) "AWARD" means the amounts payable to a Participant pursuant to Section 2.2.
